NDA NDA THIS CONFIDENTIALITY AGREEMENT (the “Agreement”) is made by and between Battle Buddy Response Team Inc. (“BBRT”) and the Volunteer of BBRT (“Volunteer”) WHEREAS, Volunteer wishes to serve BBRT as a volunteer, and in that relationship, BBRT has requested Volunteer to undertake certain duties and responsibilities, the performance of which by Volunteer requires BBRT to provide to Volunteer access to certain confidential information and documents; and Volunteer desires to assume such duties and responsibilities as part of his/her service to BBRT. NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants hereinafter set forth, the parties hereto agree as follows: Confidential Information. Volunteer acknowledges that all information provided to his/her by BBRT, whether written or verbal, in connection with his/her volunteer service and identified as “confidential,” constitutes confidential and proprietary information of BBRT (“Confidential Information”). The Confidential Information may include, but is not limited to, information relating to BBRT’s financials, legal matters, governance, staff, clients, program participants, and all other information relating to BBRT’s status, strategic plans, and other aspects of its organization and operations. Confidentiality/Unauthorized Disclosure by Volunteer. Volunteer agrees to keep the Confidential Information confidential which includes specifically, that Volunteer shall not discuss with, disclose, reveal, or disseminate to any other entity or individual, for any use whatsoever, whether to benefit BBRT, Volunteer, or any other individual or entity, any Confidential Information at any time or for any reason without the prior written consent of BBRT. Any such disclosure as described in the previous sentence is an Unauthorized Disclosure. The obligations of Volunteer under this Section 2 shall include the obligation to take all steps necessary to protect the confidentiality of the Confidential Information and to prevent the disclosure thereof by Volunteer. Authorized Disclosure. Notwithstanding paragraph 2 above, BBRT may identify to Volunteer in writing certain persons with whom Volunteer may discuss specific Confidential Information and authorize Volunteer to do so, only to those certain persons and only as to specifically identified Confidential Information. Termination of Agreement to Maintain Confidentiality. Volunteer agrees to keep Confidential Information confidential as described above in paragraph 2, until such time as BBRT advises Volunteer in writing that his/her obligation under this Agreement to keep the Confidential Information confidential is released, or until such time as BBRT voluntarily and publicly discloses the specific Confidential Information in question, in a newspaper, journal, social media, television, or radio, or other method by which any member of the general public has free access to such information. Harm Caused by Unauthorized Disclosure. Volunteer hereby acknowledges that any Unauthorized Disclosure by Volunteer may cause serious irreparable harm to BBRT and/or its volunteers, employees, and/or to its clients or program participants. Return of Written Confidential Information. Upon the request from BBRT, Volunteer shall promptly return to BBRT any and all copies, reproductions, or summaries of any documentation or materials containing any Confidential Information. This Agreement may be signed in multiple counterparts and delivery of any signature on this Agreement by facsimile or electronic transmission shall be as fully effective as delivery of an original signature in person.
